Welcome, and thank you for your interest in PipeLLM, a product of Synaptyx, Inc. ("PipeLLM," "Synaptyx," "we," or "us") and our website at www.pipellm.ai ("Site"), along with our related websites, networks, applications, and other services provided by us (collectively, our "Service"). These Terms of Service are a legally binding contract between you and Synaptyx, Inc. regarding your use of the Service.
PLEASE READ THE FOLLOWING TERMS CAREFULLY. BY CLICKING "I ACCEPT," OR BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS, INCLUDING THE PIPELLM PRIVACY POLICY (TOGETHER, THE "TERMS"). If you are not eligible, or do not agree to the Terms, then you do not have our permission to use the Service.
These Terms provide that all disputes between you and PipeLLM will be resolved by BINDING ARBITRATION. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend your rights under this contract, except for matters that may be taken to small claims court. Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury, and your claims cannot be brought as a class action.
1. PipeLLM Service Overview
PipeLLM provides a model gateway, protocol translation, and agent infrastructure platform through which users may access and use generative AI models and related features, including APIs, routing, format conversion, agent runtimes, assistants, automations, tool calling, integrations, connectors, monitoring, audit, governance, and other managed or customer-specific enterprise features (collectively, the "Service"). Certain Service features may rely on third-party providers or be offered on a beta, preview, early access, evaluation, managed, limited-availability, or customized basis. PipeLLM may add, modify, limit, suspend, or remove any part of the Service at any time.
2. Eligibility
You must be at least 13 years of age to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 13 years of age; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with all applicable laws and regulations.
3. Accounts and Registration
To access most features of the Service, you must register for an account. When you register for an account, you may be required to provide us or our authentication platform with some information about yourself, such as your email address or other contact information. You agree that the information you provide to us is accurate and that you will keep it accurate and up-to-date at all times. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account.
4. Payment and Credits
4.1 Pre-Paid Credits; Refunds
Access to the Service may require you to pay fees for pre-paid credits that are linked to your account ("Credits"), along with payment processing fees. Refunds for unused Credits may be requested within twenty-four (24) hours from the time the transaction was processed. If no refund request is received within twenty-four (24) hours, any unused Credits become non-refundable. Accounts that have been suspended or terminated due to violations of these Terms, including but not limited to the Prohibited Conduct described in Section 6, are not eligible for any refund.
4.2 Credit Expiration
PipeLLM reserves the right to expire unused credits three hundred sixty-five (365) days after purchase.
4.3 Changes to Fees
If PipeLLM changes the fees for the Service, including by adding additional fees or charges, PipeLLM will provide you advance notice of those changes. If you do not accept the changes, PipeLLM may discontinue providing the Service to you.
5. User Content, Agent Configurations, and AI Features
5.1 User Content Generally
You may provide input into the Services, which may include text, images, data, prompts, files, and other types of work ("Input"), configure agents, assistants, automations, workflows, tools, integrations, approvals, and related settings ("Configurations"), and receive outputs, recommendations, actions, logs, traces, or other results generated through the Service ("Results"). You retain copyright and any other proprietary rights that you may hold in your Input and Configurations. Your rights in Results may depend on the terms that apply to the specific AI model, tool, or integration you use.
5.2 License for Prompt and Service Logging
If you have opted into prompt logging or similar logging and telemetry features in your account settings, you grant PipeLLM a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to host, store, transfer, display, and distribute your Input, Configurations, Results, and related logs or traces for purposes of providing the Services to you and for our own commercial and business purposes.
5.3 Input and Configuration Representations and Warranties
You are solely responsible for your Input and Configurations. You affirm, represent, and warrant that you own them or otherwise have the necessary rights, permissions, consents, and authorizations to submit, configure, connect, access, and use them through the Service, and that doing so does not infringe, violate, or misappropriate any third-party right.
5.4 Responsibility for Agent and Tool Use
You are responsible for the instructions, workflows, approvals, tool selections, external connections, destinations, permissions, and downstream actions initiated through your use of the Service, including any use of agent, automation, assistant, or tool-based features. Where law, contract, internal policy, or third-party terms require review, approval, notice, or consent, you are responsible for obtaining it before enabling or using the relevant feature.
5.5 Preview, Beta, and Custom Features
Certain Service features, including monitoring, audit, execution review, traceability, enterprise connectors, custom workflows, and other agent runtime capabilities, may be offered on a beta, preview, early access, managed, limited-availability, or customized basis. Such features may be modified, interrupted, suspended, or discontinued at any time and may be subject to additional product-specific terms, eligibility requirements, or usage limits.
6. Prohibited Conduct
BY USING THE SERVICE YOU AGREE NOT TO:
- Use the Service for any illegal purpose, in violation of any local, state, national, or international law.
- Create a false identity or misrepresent your identity.
- Develop, support or use software, devices, scripts, or robots to scrape or copy any information on the Site or the Services.
- Interfere with security-related features of the Service.
- Interfere with the operation of the Service or any user's enjoyment of the Service.
- Perform any fraudulent activity.
- Register multiple accounts through bulk or automated means, or create accounts for the purpose of abusing promotions, referral programs, or other incentive systems.
- Engage in malicious invitation or referral activity, including but not limited to inviting fake, fraudulent, or non-genuine users to obtain referral benefits.
- Deliberately bypass, modify, or ignore the safety filters, usage policies, or terms of service of our underlying third-party AI Model providers (including but not limited to OpenAI, Anthropic, Google, Meta, Mistral, DeepSeek, xAI, and any other provider).
- Use the Service, or any agent, automation, tool, or integration feature, to access, modify, or interact with any third-party system, data source, account, environment, or resource without authorization.
- Configure or use agents, workflows, tools, or integrations in a manner that exceeds granted permissions or bypasses required approvals, audit controls, monitoring controls, or organizational safeguards.
- Rely on the Service to take autonomous actions in high-risk, regulated, or sensitive contexts without appropriate human review and any legally or operationally required safeguards.
- Use the AI Models accessible through the Service to generate, distribute, or facilitate malware, illegal content, deepfakes, non-consensual intimate imagery, or content that promotes violence, terrorism, or self-harm.
- Access or use the Service from any country, territory, or region where such use is prohibited — whether by comprehensive U.S. economic sanctions administered by the Office of Foreign Assets Control (OFAC), by applicable export control laws, or by the geographic restrictions and usage policies of our underlying third-party AI Model providers. You represent and warrant that you are not located in, under the control of, or a national or resident of any such restricted jurisdiction.
7. Disclaimers; No Warranties
THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND. PIPELLM DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
PIPELLM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.
PIPELLM DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, LEGALITY, RELIABILITY, OR USEFULNESS OF ANY OUTPUT, RECOMMENDATION, ACTION, LOG, TRACE, OR OTHER RESULT GENERATED THROUGH AI MODELS, AGENTS, ASSISTANTS, AUTOMATIONS, TOOLS, OR INTEGRATIONS. YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING RESULTS BEFORE RELYING ON THEM OR PERMITTING DOWNSTREAM EXECUTION.
8. Limitation of Liability
IN NO EVENT WILL PIPELLM BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICE.
THE AGGREGATE LIABILITY OF PIPELLM TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO PIPELLM FOR ACCESS TO AND USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT; OR (B) $100.
9. Indemnification
You agree to indemnify, defend, and hold harmless Synaptyx, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) your Inputs, Configurations, Results, or actions initiated through the Service.
10. Governing Law
These Terms are governed by the laws of the State of New York without regard to conflict of law principles.
