# Terms of Service

These Terms of Service govern use of PipeLLM, a product of Synaptyx, Inc., a Delaware corporation, including the website at `www.pipellm.ai` and related services. They form a legally binding contract between the user and Synaptyx, Inc.

By using the service, users acknowledge that they have read, understood, and agreed to be bound by these terms and the PipeLLM Privacy Policy. The terms also state that disputes are subject to binding arbitration, except for matters that may proceed in small claims court.

## 1. PipeLLM Service Overview

PipeLLM provides a model gateway, protocol translation, and agent infrastructure platform through which users may access and use generative AI models and related features, including APIs, routing, format conversion, agent runtimes, assistants, automations, tool calling, integrations, connectors, monitoring, audit, governance, and other managed or customer-specific enterprise features (collectively, the "Service"). Certain Service features may rely on third-party providers or be offered on a beta, preview, early access, evaluation, managed, limited-availability, or customized basis. PipeLLM may add, modify, limit, suspend, or remove any part of the Service at any time.

## 2. Eligibility

Users must be at least 13 years old to use the service. By using PipeLLM, users represent that:

- they are at least 13 years of age,
- they have not previously been suspended or removed from the service,
- their registration and use comply with applicable laws and regulations.

## 3. Accounts and Registration

Access to most features requires an account. During registration, users may be required to provide information such as email address or other contact information. Users agree to provide accurate information and keep it current. Users are responsible for safeguarding account credentials and accept responsibility for activities occurring under their account.

## 4. Payment and Credits

### 4.1 Pre-Paid Credits and Refunds

Access to the service may require the purchase of prepaid credits, plus payment processing fees. Refunds for unused credits may be requested within twenty-four hours of the transaction. If no refund request is submitted within that period, unused credits become non-refundable. Accounts suspended or terminated for violating the terms are not eligible for refunds.

### 4.2 Credit Expiration

PipeLLM reserves the right to expire unused credits three hundred sixty-five days after purchase.

### 4.3 Changes to Fees

If PipeLLM changes fees, including by adding new fees or charges, it will provide advance notice. If a user does not accept the changes, PipeLLM may discontinue service for that user.

## 5. User Content, Agent Configurations, and AI Features

### 5.1 User Content Generally

Users may submit inputs, including text, images, data, prompts, files, and other content ("Input"), configure agents, assistants, automations, workflows, tools, integrations, approvals, and related settings ("Configurations"), and receive outputs, recommendations, actions, logs, traces, or other results generated through the Service ("Results"). Users retain ownership rights they may hold in their Input and Configurations. Rights in Results may depend on the terms that apply to the specific AI model, tool, or integration being used.

### 5.2 License for Prompt and Service Logging

If a user has opted into prompt logging or similar logging and telemetry features in account settings, that user grants PipeLLM a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to host, store, transfer, display, and distribute Input, Configurations, Results, and related logs or traces for service delivery and PipeLLM's commercial or business purposes.

### 5.3 Input and Configuration Representations and Warranties

Users are solely responsible for their Input and Configurations. Users represent that they own them or otherwise have the necessary rights, permissions, consents, and authorizations to submit, configure, connect, access, and use them through the Service, and that doing so does not infringe, violate, or misappropriate any third-party rights.

### 5.4 Responsibility for Agent and Tool Use

Users are responsible for the instructions, workflows, approvals, tool selections, external connections, destinations, permissions, and downstream actions initiated through their use of the Service, including any use of agent, automation, assistant, or tool-based features. Where law, contract, internal policy, or third-party terms require review, approval, notice, or consent, users are responsible for obtaining it before enabling or using the relevant feature.

### 5.5 Preview, Beta, and Custom Features

Certain Service features, including monitoring, audit, execution review, traceability, enterprise connectors, custom workflows, and other agent runtime capabilities, may be offered on a beta, preview, early access, managed, limited-availability, or customized basis. Such features may be modified, interrupted, suspended, or discontinued at any time and may be subject to additional product-specific terms, eligibility requirements, or usage limits.

## 6. Prohibited Conduct

Users agree not to:

- use the service for illegal purposes or in violation of law,
- create a false identity or misrepresent their identity,
- scrape or copy information on the site or service using software, devices, scripts, or robots,
- interfere with security-related features,
- interfere with service operation or another user's enjoyment of the service,
- engage in fraudulent activity,
- create multiple accounts through bulk or automated means,
- abuse promotions, referral programs, or incentives,
- engage in malicious invitation or referral activity,
- bypass or ignore safety filters, usage policies, or terms of third-party model providers,
- use the Service, or any agent, automation, tool, or integration feature, to access, modify, or interact with any third-party system, data source, account, environment, or resource without authorization,
- configure or use agents, workflows, tools, or integrations in a manner that exceeds granted permissions or bypasses required approvals, audit controls, monitoring controls, or organizational safeguards,
- rely on the Service to take autonomous actions in high-risk, regulated, or sensitive contexts without appropriate human review and any legally or operationally required safeguards,
- use accessible models to generate or facilitate malware, illegal content, deepfakes, non-consensual intimate imagery, or content promoting violence, terrorism, or self-harm,
- access or use the service from jurisdictions restricted by sanctions, export controls, or third-party provider geographic restrictions.

## 7. Disclaimers; No Warranties

The service and all content made available through it are provided "as is" and "as available," without warranty or condition of any kind. PipeLLM disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. PipeLLM does not warrant that the service will be uninterrupted, secure, or free of errors, viruses, or harmful components.

PipeLLM does not guarantee the accuracy, completeness, legality, reliability, or usefulness of any output, recommendation, action, log, trace, or other result generated through AI models, agents, assistants, automations, tools, or integrations. Users are responsible for reviewing and validating results before relying on them or permitting downstream execution.

## 8. Limitation of Liability

PipeLLM will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to access to or use of the service. Aggregate liability is limited to the greater of:

- the amount paid by the user to PipeLLM during the twelve months before the relevant event, or
- $100.

## 9. Indemnification

Users agree to indemnify, defend, and hold harmless Synaptyx, Inc. and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses arising out of:

- the user's use of the service,
- the user's violation of the terms,
- the user's violation of third-party rights,
- the user's inputs, configurations, outputs, or actions initiated through the service.

## 10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
